We reserve the right to modify, suspend, or discontinue any aspect of our services, either temporarily or permanently, with or without notice to you. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of our services.

Subject to your compliance with these Terms, AWS Transport LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use our website and services for your internal business purposes only. Upon full payment for services rendered, AWS Transport LLC will assign to the client ownership of final deliverables specifically created for that client under an executed Statement of Work or Service Agreement. Notwithstanding the foregoing, AWS Transport LLC retains ownership of all pre-existing materials, tools, methodologies, frameworks, templates, libraries, know-how, and general knowledge developed or acquired prior to or independently of the client engagement. AWS Transport LLC shall be free to use and employ its general skills, know-how, and expertise, and to use, disclose, and employ any generalized ideas, concepts, know-how, methods, techniques, or skills acquired or used in the course of providing services to any client.
If you provide us with any feedback, suggestions, ideas, improvements, or recommendations regarding our website or services, you hereby grant AWS Transport LLC a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, non-exclusive, sublicensable, transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such feedback for any purpose without compensation to you.

Fees for our professional services are specified in individual Statements of Work, Service Agreements, or engagement letters prepared for each client engagement. Pricing for our services is based on the scope, complexity, and duration of each project. All fees are quoted and payable in United States Dollars unless otherwise specified in writing.
Unless otherwise agreed in writing, invoices are issued according to the payment schedule outlined in the applicable Statement of Work or Service Agreement. Standard payment terms require payment within 30 calendar days from the date of invoice. Late payments may be subject to a finance charge of 1.5 percent per month on the outstanding balance, or the maximum rate permitted by law, whichever is lower.
All fees are exclusive of applicable taxes, levies, duties, or similar governmental assessments of any nature, including value-added tax, sales tax, use tax, and withholding tax, assessable by any jurisdiction. You are responsible for payment of all such taxes, excluding only taxes based on AWS Transport LLCs net income. If AWS Transport LLC has the legal obligation to pay or collect such taxes, the appropriate amount shall be invoiced to and paid by you, unless you provide us with a valid tax exemption certificate authorized by the appropriate taxing authority.
If you believe that any charges invoiced are incorrect, you must notify us in writing within 15 calendar days of the invoice date to be eligible to receive an adjustment or credit. Failure to dispute charges within this period constitutes your acceptance of the charges as invoiced.
Unless otherwise specified in the applicable Statement of Work or Service Agreement, reasonable out-of-pocket expenses incurred by AWS Transport LLC in connection with the delivery of services, including but not limited to travel, accommodation, software licensing, third-party service fees, and materials, may be billed as reimbursable expenses with supporting documentation.
Confidential Information means any non-public information disclosed by either party to the other in connection with the services, whether disclosed orally, in writing, or in any other tangible form, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information includes technical information, business plans, client data, project specifications, system architectures, security configurations, trade secrets, know-how, financial information, and pricing details.
Each party agrees to hold the other partys Confidential Information in strict confidence, using at least the same degree of care it uses to protect its own Confidential Information of a similar nature, but in no event less than reasonable care. Each party shall not disclose the other partys Confidential Information to any third party without the disclosing partys prior written consent, except to its employees, contractors, and agents who have a legitimate need to know such information and who are bound by confidentiality obligations at least as protective as those contained herein.
Confidential Information does not include information that: is or becomes publicly available through no breach of these Terms by the receiving party; was known to the receiving party prior to its disclosure by the disclosing party without breach of any obligation owed to the disclosing party; is received from a third party without breach of any confidentiality obligation; or is independently developed by the receiving party without use of or reference to the disclosing partys Confidential Information.
If a party is legally compelled by court order, subpoena, law, regulation, or government authority to disclose any Confidential Information of the other party, the compelled party shall, to the extent legally permitted, provide prompt written notice to the other party before such disclosure so that the other party may seek a protective order or other appropriate remedy. The compelled party shall disclose only that portion of the Confidential Information that is legally required to be disclosed.
The obligations of confidentiality set forth in this section shall survive termination of these Terms and continue for a period of 5 years from the date of disclosure of the applicable Confidential Information, provided that obligations with respect to trade secrets shall continue for so long as such information remains a trade secret under applicable law.
THE SERVICES, WEBSITE CONTENT, AND ALL MATERIALS PROVIDED BY AWS TRANSPORT LLC ARE PROVIDED ON AN AS IS AND AS AVAILABLE BASIS WITHOUT ANY REPRESENTATION OR WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AWS TRANSPORT LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.

Actual results may vary based on numerous factors including changes in technology, business requirements, market conditions, and implementation quality. AWS Transport LLC does not guarantee that any system design will be free from errors, vulnerabilities, or performance limitations.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AWS TRANSPORT LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, LOSS OF BUSINESS OPPORTUNITIES, BUSINESS INTERRUPTION, COMPUTER FAILURE OR MALFUNCTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE OUR WEBSITE OR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT INCLUDING NEGLIGENCE, STRICT LIABILITY, STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF AWS TRANSPORT LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow the exclusion or limitation of certain damages, including incidental or consequential damages, or the limitation of liability for death, personal injury, fraud, or willful misconduct. In such jurisdictions, the liability of AWS Transport LLC shall be limited to the fullest extent permitted by applicable law. Nothing in these Terms shall limit or exclude liability that cannot be limited or excluded under applicable law.
You acknowledge and agree that the disclaimers of warranties and limitations of liability set forth in these Terms constitute an essential basis of the bargain between you and AWS Transport LLC, and that in the absence of such disclaimers and limitations, the terms and pricing of our services would be substantially different. You further acknowledge that AWS Transport LLC has relied on these disclaimers and limitations in making the website and services available.
You agree to defend, indemnify, and hold harmless AWS Transport LLC, its parent companies, subsidiaries, affiliates, officers, directors, employees, contractors, agents, partners, suppliers, and licensors from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees including reasonable attorneys fees and legal costs arising out of or relating to:

In the event of any dispute, claim, question, or disagreement arising out of or relating to these Terms or the breach thereof, the parties shall first use their best efforts to resolve the dispute amicably. Either party may initiate this process by delivering written notice to the other party describing the nature of the dispute. The parties shall then attempt to resolve the dispute through good faith negotiation within 30 calendar days of such notice.
If the parties are unable to resolve the dispute through negotiation within the 30-day period, they shall attempt to resolve the dispute through mediation. Mediation shall be administered by a mutually agreed-upon mediator in Salt Lake City, Utah, or via video conference. The cost of mediation shall be shared equally by the parties. Each party shall bear its own costs and attorneys fees in connection with the mediation.
If the dispute is not resolved through mediation within 60 calendar days from the initiation of mediation, the dispute shall be finally resolved by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator mutually selected by the parties or appointed by the American Arbitration Association if the parties cannot agree. The arbitration shall be held in Weber County, Utah, or another location mutually agreed upon by the parties. The arbitration proceedings and all evidence, testimony, and documents shall be kept confidential.
YOU AND AWS TRANSPORT LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. UNLESS BOTH YOU AND AWS TRANSPORT LLC AGREE OTHERWISE IN WRITING, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSONS CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of its intellectual property rights, confidential information, or other proprietary rights, without first engaging in the negotiation, mediation, or arbitration procedures described above.
Any claim or cause of action arising out of or related to your use of our website or services must be filed within one year after such claim or cause of action arose, regardless of any statute or law to the contrary. Any claim not filed within such one-year period shall be permanently barred.

Those who access or use our services from other jurisdictions do so on their own initiative and are solely responsible for compliance with all applicable local laws and regulations.

You may not assign, transfer, delegate, or sublicense any of your rights or obligations under these Terms, whether by operation of law or otherwise, without the prior written consent of AWS Transport LLC. Any attempted assignment in violation of this provision shall be null and void. AWS Transport LLC may freely assign or transfer these Terms, in whole or in part, without restriction, including to any affiliate, successor, or acquirer of its business or assets.
Nothing in these Terms shall be construed as creating a partnership, joint venture, agency, employment, or franchise relationship between you and AWS Transport LLC. Neither party has the authority to bind the other or incur any obligation on the others behalf without the others prior written consent. AWS Transport LLCs relationship with you is that of an independent contractor.
AWS Transport LLC shall not be liable for any delay or failure in performance under these Terms arising out of causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fires, floods, earthquakes, accidents, epidemics, pandemics, strikes, shortages of transportation, facilities, fuel, energy, labor, or materials, internet or telecommunications outages, or any other event beyond the reasonable control of AWS Transport LLC.
All notices, requests, consents, claims, demands, waivers, and other communications under these Terms must be in writing. Notices to AWS Transport LLC shall be sent to the contact information provided in Section 18. Notices to you may be sent to the email address or physical address you have provided to us. Notice shall be deemed given: immediately when posted on our website; 24 hours after an email is sent if no bounce or error response is received; or 5 business days after deposit in the mail.
